End User License Agreement (EULA)

Krithrim EDC – Electronic Data Capture System

Effective Date: March 3, 2026

This End User License Agreement ("Agreement") is a legal agreement between Sylphid Analytics Pvt. Ltd. ("Company", "We", "Our", or "Licensor") and the entity or individual ("User", "Client", or "Licensee") accessing or using Krithrim EDC ("Software" or "Platform").

By accessing, installing, or using Krithrim EDC, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to the terms of this Agreement, Sylphid Analytics grants the Licensee a:

  • Non-exclusive
  • Non-transferable
  • Non-sublicensable
  • Limited license

to access and use Krithrim EDC solely for clinical research and related data management activities.

2. Ownership & Intellectual Property
  • Krithrim EDC, including its source code, workflows, UI, database structure, documentation, and enhancements, is the exclusive property of Sylphid Analytics.
  • This Agreement does not transfer ownership rights.
  • All intellectual property rights remain with the Licensor.
3. Permitted Use

The Licensee may:

  • Use the platform for clinical trial data capture and management.
  • Configure studies within licensed scope.
  • Grant controlled access to authorized users.

The Licensee shall ensure users comply with:

  • Good Clinical Practice (GCP)
  • Applicable regulatory requirements (FDA, EMA, CDSCO, etc.)
4. Restrictions

The Licensee shall NOT:

  • Reverse engineer, decompile, or disassemble the software.
  • Modify, adapt, or create derivative works.
  • Resell, sublicense, lease, or distribute the platform.
  • Attempt unauthorized access to system components.
  • Use the software for unlawful purposes.
5. Data Ownership & Confidentiality
  • All clinical data entered into Krithrim EDC belongs to the Licensee.
  • Sylphid Analytics acts as a data processor (unless otherwise agreed).
  • The Company will maintain confidentiality and implement appropriate security safeguards.

Data handling complies with:

  • GDPR (where applicable)
  • HIPAA (where applicable)
  • Indian IT Act, 2000 (where applicable)
6. Information Security

Krithrim EDC follows industry best practices including:

  • Role-Based Access Control (RBAC)
  • Audit Trails
  • Encrypted Data Transmission (HTTPS/TLS)
  • Secure Hosting Infrastructure
  • Regular backups

Security features may evolve as part of continuous improvement.

7. Service Availability
  • The platform is provided on a subscription or contractual basis.
  • Scheduled maintenance may occur with prior notice.
  • Sylphid Analytics will use reasonable efforts to ensure uptime but does not guarantee uninterrupted service.
8. Warranties Disclaimer

The Software is provided "AS IS" without warranties of any kind, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
9. Limitation of Liability

To the maximum extent permitted by law:

  • Sylphid Analytics shall not be liable for indirect, incidental, special, or consequential damages.
  • Total liability shall not exceed the amount paid by the Licensee in the preceding 12 months.
10. Termination

This Agreement may be terminated:

  • Upon breach of terms.
  • Upon expiration of subscription.
  • By mutual written agreement.

Upon termination:

  • Access will be revoked.
  • Data export options will be provided as per contract terms.
11. Governing Law
  • This Agreement shall be governed by the laws of India.
  • Jurisdiction: Courts of Hyderabad, Telangana.
12. Amendments

Sylphid Analytics reserves the right to modify this Agreement. Continued use after updates constitutes acceptance.
